These Semrush App Center User Terms of Service ("App Center Terms") apply to your use of the Semrush App Center (defined below) and form part of the Semrush Terms of Service available at https://www.semrush.com/company/legal/terms-of-service/ ("Semrush Terms of Service") (collectively, the “Semrush Terms”). By registering for, accessing or using the Semrush App Center or ordering, installing or enabling any App (defined below), you acknowledge that you have read, understood, and agree to be bound by these App Center Terms and, for Partner Apps (defined below) by any Partner Terms (defined below). Capitalized terms not defined herein shall have the meanings assigned to them in the Semrush Terms of Service. In the event of any conflict between these App Center Terms and the Semrush Terms of Service, these App Center Terms shall prevail solely with respect to the Semrush App Center and Apps.

PLEASE READ THESE APP CENTER TERMS CAREFULLY. IF YOU DO NOT AGREE WITH THESE APP CENTER TERMS, YOU MAY NOT REGISTER FOR OR USE THE SEMRUSH APP CENTER OR ANY APPS.

1. SEMRUSH APP CENTER AND APPS

   1. The "Semrush App Center" is Semrush’s online platform for software applications, plugins and extensions (“App(s)”) that are designed to interoperate with the Semrush platform, portal, product, service, application or website as described more fully at www.semrush.com/apps (or other brand name or URL we may designate). App(s) may contain additional integrations, content, data, features or services (“In-App Features”).
   2. Apps.You can find the listing for each App, along with the description of each App, in the Semrush App Center. The listing for each App will identify the provider of the App, which may be Semrush or a third party (“Partner”). “Semrush Apps” (including their related listing details) are provided by Semrush and “Partner Apps” (including their related listing details) are provided by the identified Partner(s).
   3. Partner Apps. Partners create, own and are responsible for Partner Apps, including any In-App Features and their listing details. Your download and use of the Partner Apps is subject to the terms, privacy policies and other applicable terms and policies specified by the Partner (“Partner Terms”). You may not use a Partner App if you do not agree to the relevant Partner Terms. Semrush is not a party to, or responsible for compliance with, any Partner Terms. Semrush does not guarantee any Partner App is adequate for your needs. Partner, not Semrush, is responsible for addressing any claims you or any third party may have related to the Partner App or your use of the Partner App, including, but not limited to claims alleging: (i) infringement of intellectual property or privacy rights, breach of contract, or product liability/consumer protection violations; or (ii) failure to comply with any applicable laws or regulations, including data protection, information security, or cybersecurity laws.

2. ACCOUNT REGISTRATION AND FEES

   1. Registration and License. To register as a user of the Semrush App Center you must create a User Account by following the registration procedures and instructions set forth in the Semrush Terms of Service, or by registering through an Semrush App Center access form, or other method as may be specified by Semrush. You are licensed to access and use the Semrush App Center and the Semrush Apps in accordance with the Semrush Terms, and the Partner Apps in accordance with the Partner Terms.
   2. Subscriptions. To start using an App or In-App Features, you must subscribe or create a User Account, choose the App available on the subscription plan you select and pay any applicable fees.
   3. Trials, Demos, Free Apps and Bundles: In the sole discretion of Semrush (and the Partner, for Partner Apps), Apps and In-App Features may be made available to you in the Semrush App Center on an unpaid or reduced fee basis, such as:
      1. Trial versions of the App or In-App Features for a limited time period (“Trial Versions”).
      2. Demonstration versions of the App or In-App Features (which may be with limited functionality) (“Demo Versions”) and access to which may be discontinued at any time by Semrush (and the Partner, for Partner Apps).
      3. Free versions for a time period that is not set in advance (“Free Versions”).
      4. Bundled or combined collections of Apps or In-App Features or other products or services for a combined fee or cost (“Bundles”).
   4. App Fees. You will be charged the fees for any Apps and In-App Features as set forth in the Semrush App Center or otherwise agreed upon in writing between you and Semrush (the “App Fees”). At the end of the trial period for any Trial Version, you will be automatically charged the full applicable App Fees. If your billing details are not available or do not work at any time, your use of the App and any In-App Features may be immediately discontinued by Semrush (or Partner, for Partner Apps) until you pay all applicable App Fees. All App Fees are exclusive of sales or use taxes, value added tax and any other taxes, charges or duties which may be imposed in connection with your purchase or use of the Apps and shall be borne solely by you. You acknowledge and agree that Semrush is authorized by the Partner to collect payments for the Partner Apps and any In-App Features, and for any Bundles, and that you are required to make any related payments directly to Semrush (unless otherwise expressly specified by Semrush in writing for a particular Partner App or In-App Feature).
   5. Change in Fees. We may change the App Fees and introduce new charges applicable to your use of the Apps and In-App Features, which will become effective as of the first day of the renewal of your subscription. In addition, we may charge additional App Fees (which will be specified in the Semrush App Center for generally available options or agreed upon with you for any customized options) if we (or the Partner, for Partner Apps) update or upgrade the App or provide additional In-App Features to you at your request. Furthermore, if you received a discounted price for a Bundle and subsequently cancel your subscription to any of the Apps or In-App Features in such Bundle, we reserve the right to charge you the higher App Fee for the individual items in the Bundle after the effective date of such cancellation.
   6. Payments. You agree to pay the App Fees monthly or annually in advance according to your subscription, by credit card or another payment method as may be acceptable to Semrush. Any bank fees and charges shall be borne solely by you. You must ensure that the billing information you provide us is current and accurate, and that you are authorized to use such billing information. You agree to notify us promptly of any changes to your billing information.

3. SUPPORT AND INTEGRATIONS

   1. Support and Maintenance. Any support and/or maintenance requests with regard to the Apps should be sent to Semrush via email to:  app-center@semrush.com. While Semrush will seek generally to provide first tier customer support, you acknowledge and agree that Partner is solely responsible for Partner Apps and any related In-App Features.
   2. Integrations. In the event that your App or In-App Feature requires a customized integration to any third party data source, software, application or platform, such as, for example, through proxying or request relaying by Semrush, you agree to be solely responsible for compliance with all terms and conditions and policies of such third party data source, software, application or platform. In addition, you represent and warrant that you have all rights and consents needed to authorize Semrush (and the Partner, for Partner Apps) to provide such customized integration.

4. SECURITY.

   You agree to enable and use the highest security protections (such as two-factor authentication or other security features) that are or may in the future be available to you in the Semrush App Center, the Apps, the In-App Features and for all integrations (whether customized or not) with any third party data source, software, application or platform.

5. PRIVACY.

   We may collect personal data when you access or use the Semrush App Center, Apps or In-App Features. Our Privacy Policy (https://www.semrush.com/company/legal/privacy-policy/), which forms an integral part of the Semrush Terms, explains how Semrush collects, uses, stores, discloses and otherwise processes your personal data as well as your rights and choices regarding your personal data, which may include disclosures of personal data about you or your consumers to a Partner relating to your procurement, purchase, access and use of Apps. Partners may collect, use, store, disclose and otherwise process personal data about you or your consumers in connection with your access or use of Partner Apps, subject to the Partner’s Privacy Policy, which Semrush is not responsible for and does not control, and such processing will not be subject to Semrush’s Privacy Policy.  Semrush’s inclusion of Partner Apps in the Semrush App Center does not constitute an endorsement by Semrush of those Partners or their Partner Apps. The privacy and security practices of Partner Apps may differ from those of Semrush. Semrush encourages you to read the Privacy Policy of any app you use or website you visit.

6. RESERVATION OF RIGHTS.

   Except for the rights explicitly granted to you in the Semrush Terms (and in the Partner Terms, for Partner Apps), all right, title and interest (including all intellectual property rights) in the Semrush App Center, the Apps, and any In-App Features are reserved by Semrush (and Partner, for Partner Apps) and any third-party licensors to Semrush or Partner, as applicable. The Apps and In-App Features are provided on a license or subscription basis, not sold, and you do not acquire any ownership rights in the Semrush App Center, the Apps or any In-App Features. Semrush also reserves the right to use Semrush App Center, App and In-App Feature data on an aggregated basis for analytics related to the operation, performance and improvement of the App Center, the Apps, and any In-App Features (or other Semrush products or services).

7. TERM AND CANCELLATION

   1. Term and Renewal. Your initial subscription term for any Apps or In-App Features will be the same as specified in your Subscription Plan and your subscription will automatically renew for the same period on the then-current terms. You may prevent renewal of the subscription by sending us a notice of non-renewal to app-center@semrush.com before the last day of your then-current subscription term.
   2. Termination and Cancellation. Termination and cancellation shall be as specified in the Semrush Terms of Service except that your written notice of cancellation for any Semrush App Center subscription, App or In-App Features must be emailed to app-center@semrush.com Except as otherwise set forth in the Cancellation and Refund Policy, cancellation does not entitle you to a refund of any prepaid or unused App Fees and you agree to promptly pay all unpaid App Fees due through the end of the applicable subscription period.

8. CHANGES TO APP CENTER TERMS.

   We may change these App Center Terms from time to time by posting the updated App Center Terms on the website. You can review the most current version of App Center Terms at any time at https://www.semrush.com/company/legal/app-center-tos/ or a successor URL that we may designate. The revised App Center Terms will become effective immediately after we post the updated text on the website. If you use the Semrush App Center or any App or In-App Features after such date, such use will constitute acceptance of the revised App Center Terms. If any change to these App Center Terms is not acceptable to you, or if any change we make to the Semrush App Center is a material reduction in functionality, you may, as your sole remedy for such change, stop using all Apps, In-App Features and the Semrush App Center and send a cancellation request email to app-center@semrush.com. Your continued use of the Semrush App Center, any Apps, or any In-App Features following the change will constitute a binding acceptance of these changes. Please see the Partner Terms for how changes are made to the Partner Terms.
